Cloud Services Supplemental Terms
Version Effective as of November 1, 2023
Capitalized terms which are not defined in these Supplemental Terms have the meanings set out in the Haivision Terms and Conditions (“Terms and Conditions”) incorporated within the Quotation which references these Supplemental Terms.
Cloud Services shall be furnished on the following terms:
1.1 Usage. Cloud Services Subscriptions are subject to the Usage limits as set forth in the Order Documentation. If Customer exceeds such Usage limit in any given month, Customer shall pay for such overage in arrears at the rate referenced in the Service Certificate “Usage” means a measurement of the data transmission, storage allocation, media request, transcoding services, server resource run time, and other conveyances consumed by Customer under a Cloud Services agreement, and which is calculated based on an allowance or contract commitment as detailed in the Order Documentation.
1.2 Customer Responsibilities. The customer is solely responsible for supplying adequate hardware, software, and other network connectivity necessary to access and use the Cloud Services (except for any Supplied Product supplied in accordance with a Cloud Services agreement).
1.3 Information. Customer acknowledges that information available from or through the Cloud Services on any interconnected networks may not be valid or accurate, Haivision makes no warranties of any kind, either express or implied regarding the quality, accuracy or validity of the data and/information residing or passing through such networks.Haivision has no control over the third-party networks Customer may access in the course of using the Cloud Services.Haivision provides only the Cloud Services and makes no effort to monitor such data.
1.4 Limit of Liability. Haivision shall not be liable for any damages caused by (i) any bugs, viruses, trojan horses or the like which may be transmitted to or through any Cloud Services; (ii) any internet blackout or brownout; (iii) alterations of transmission(s) or data; or (iv) any limitations, delays or other problems inherent in the use of third party networks and communications facilities, including the internet.
